FirstStop WebSearch™  Open XML Search Specification™

TERMS AND CONDITIONS OF USE

FirstStop Web Search, LLC supports and encourages the use of the open XML meta search interface specification by anyone who can make good use of it to further interoperability in electronic data exchange. This includes copying, modifying, and distributing the DTDs and XML Schemas. However, all use of the Open Search Source and Search Results Specification is subject to the license terms set forth below.

COPYRIGHT LICENSE AGREEMENT

FirstStop WebSearch, LLC hereby grants to all users of the open XML search source and search results specification, DTDs, schemas, and modules (the "Specification"), a perpetual, nonexclusive, royalty-free, worldwide right and license to use, publish, copy, modify, and distribute the Specification. FirstStop WebSearch, LLC further agrees to grant to users a royalty-free license under the applicable FirstStop WebSearch, LLC’s standard terms to implement and to use the Specification tags and schema guidelines included in the Specification for the purpose of creating computer programs that adhere to such guidelines. 

As conditions of this license, licensee agrees that:

i. it will not assert any intellectual property right against FirstStop WebSearch, LLC or any other entity for implementation of the Specification;

ii. any publication, copy, and/or distribution of these Specifications will include an appropriate copyright notice (as shown above);

iii. any modification of these specifications will include the following statement: Parts of this specification are based on the FirstStop Web Search, LLC’s open XML search source specification, version 1.0 (© Copyright FirstStop WebSearch, LLC, 2001, 2002 All Rights Reserved).

iv. it releases FirstStop WebSearch LLC and Brush Systems Group, Inc. from any liability relating to the improper or illegal use of the Specification.

Non-Compete Agreement - This License Agreement shall also serve as a Non-Compete Agreement. This Agreement is made effective as of the acceptance date of this agreement, by and between FirstStop WebSearch, LLC and The Licensee.

FirstStop WebSearch, LLC reserves the right to revoke this License Agreement if your Deliverable is deemed to compete substantially with any of FirstStop WebSearch, LLC’s or Brush Systems Group, Inc.’s products. FirstStop WebSearch, LLC shall be the sole arbitrator for deciding as to whether or not your Deliverable infringes on this Non-Compete clause. Contact FirstStop WebSearch LLC immediately if you have reason to believe that your Deliverable fails to honor this Non-Compete Agreement.

Licensee asserts that the Licensee: 

1) does not have any plans to compete with FirstStop WebSearch, LLC or Brush Systems Group, Inc.,

2) do not evaluate Software for the purpose of gathering competitive intelligence, and

3) has no plans to claim infringement by FirstStop WebSearch, LLC or Brush Systems Group, Inc. of any intellectual property right.

DISCLAIMER OF WARRANTY AND LIABILITY

FirstStop WebSearch, LLC expressly disclaims any and all warranties regarding this Specification, including the warranty that this Specification and/or implementations thereof do not violate the rights of others. These Specifications are provided "as is" without any express or implied warranty.
